Terms of Service

1. Introduction

These Terms of Service ("ToS") govern access to and use of the Responz service, published by Jérôme Gambiez, a sole trader (EI), with its registered office at Quai de France, 38000 Grenoble, France (hereinafter "Responz").

By accessing https://www.responz.io or using the service, the user unconditionally accepts these ToS as well as the Privacy Policy and the Data Processing Agreement.

These ToS may be updated at any time. The date of last modification is shown at the top of this page. Continued use of the service constitutes acceptance of the ToS in force.

2. Access to the service and licence

Subject to compliance with these ToS and payment of amounts due, Responz grants the user a personal, non-exclusive, non-transferable and non-sublicensable licence to access and use the service in the context of its professional activities, within the limits of the subscribed plan.

Access to the service requires creating an account and connecting the user's Intercom workspace via OAuth. The user is solely responsible for the confidentiality of their credentials.

3. Intellectual property — Responz

Responz retains all intellectual property rights in the service, including without limitation: the Responz brand, logos, platform architecture, analysis and scoring algorithms, source code, documentation and marketing materials.

No provision of these ToS transfers any intellectual property right to the user beyond the licence expressly granted in Article 2.

4. Intellectual property — User

The user retains all rights over the content they bring to the service (conversation data, configurations, exported reports). Responz claims no ownership rights over this content.

The user grants Responz a limited, non-exclusive and revocable licence to process this content solely for the purpose of providing the service.

5. Usage data and service improvement

Responz may collect aggregated and anonymised data on platform usage (features used, performance metrics) for the purpose of improving the service. This data does not allow identification of the user or their end customers.

Intercom conversation data processed on behalf of the user is never used to train artificial intelligence models without prior explicit consent.

6. User accounts

The user is responsible for the security of their account and all actions taken under their credentials. They undertake to notify Responz without delay in the event of a suspected compromise at hello@responz.io.

Responz reserves the right to suspend or terminate any account in the event of a breach of these ToS, including fraudulent use or non-payment.

7. Subscription plans and billing

7.1 Available plans

Responz offers several subscription plans described on the Pricing page of https://www.responz.io. The features and limits of each plan are specified on this page and may be modified with 30 days' notice.

7.2 Billing

Paid subscriptions are billed monthly or annually as chosen by the user, and automatically renewed on the due date. Prices are stated exclusive of tax; applicable taxes (VAT, etc.) are added in accordance with current regulations.

Any price change is communicated by email with a minimum of 30 days' notice. Continued use of the service after this period constitutes acceptance of the new prices.

7.3 Refunds

Payments made are non-refundable, unless otherwise required by law. In the event of termination mid-period, the service remains accessible until the end of the current period.

8. Termination

The user may terminate their subscription at any time from their account settings or by contacting hello@responz.io. Termination takes effect at the next billing due date.

Upon termination, the user's data is deleted within 30 days, in accordance with the Data Processing Agreement. The user may request an export of their data before termination.

Responz may terminate an account immediately in the event of a serious breach of the ToS, without notice or refund.

9. Prohibited uses

It is strictly prohibited to:

• decompile, disassemble or attempt to reverse-engineer the service's source code
• attempt to gain unauthorised access to the systems or data of other users
• create multiple accounts to circumvent the limits of a plan
• transmit unlawful, malicious or third-party rights-infringing content
• use the service for purposes contrary to applicable laws and regulations, particularly regarding data protection and export controls
• resell, sublicense or make the service available to third parties without prior written authorisation from Responz

10. Warranties and limitation of liability

The service is provided "as is", without warranty of any kind, express or implied. Responz does not guarantee that the service will be uninterrupted, error-free or fit for a particular purpose.

To the fullest extent permitted by applicable law, the total liability of Responz to the user, for any cause whatsoever, is limited to the amounts actually paid by the user during the twelve (12) months preceding the event giving rise to the claim.

Responz shall not be liable for indirect, consequential, incidental, punitive or loss-of-profit damages, regardless of the legal theory invoked.

11. Indemnification

The user undertakes to defend, indemnify and hold harmless Responzagainst any claim, damage, loss or expense (including legal fees) arising from the use of the service in breach of these ToS, content uploaded by the user or any infringement of a third party's rights.

12. Applicable law and jurisdiction

These ToS are governed by and construed in accordance with French law. In the event of a dispute not resolved amicably, the courts of the jurisdiction of Grenoble shall have exclusive jurisdiction.

For users who qualify as consumers within the meaning of European Union law, the rights recognised by applicable consumer protection legislation remain fully applicable.
